1.1 本服务条款（"本条款"）是您（"用户"）与北京未名商道文化有限公司（"我们"、"公司"）之间关于使用 Moodio 平台（"本服务"）的法律协议。本服务由公司在中华人民共和国境内运营。
These Terms of Service ("Terms") are a legal agreement between you ("User") and Beijing Weiming Shangdao Culture Co., Ltd. ("we," "Company") regarding the use of the Moodio platform ("Service"). The Service is operated by the Company within the People's Republic of China.
1.2 使用本服务前，请您仔细阅读并充分理解本条款的全部内容。通过注册账户或使用本服务，即表示您同意接受本条款的约束。如您不同意本条款，请勿使用本服务。
Please read and fully understand all contents of these Terms before using the Service. By registering an account or using the Service, you agree to be bound by these Terms.
1.3 我们有权根据需要修改本条款。修改内容将通过本服务公告或向您发送通知的方式告知。修改后的条款自公布之日起30日后生效。如您在修改后继续使用本服务，即表示您接受修改后的条款。
We may modify these Terms as needed. Changes will be communicated through Service announcements or notifications. Modified terms take effect 30 days after publication.
2.1 视频搜索引擎。 本服务提供可搜索的视频参考素材库（"搜索库"），用户可浏览、搜索并查看短视频片段，仅供参考和灵感用途。搜索库中的内容版权归原权利人所有，公司不主张对其拥有版权。
The Service provides a searchable video reference library ("Search Library"). All Search Library content remains the property of its respective copyright holders.
2.2 AI生成平台。 本服务提供基于人工智能的图像和视频生成工具（"AI生成内容"）。生成功能由公司自有技术与第三方AI服务共同提供。AI生成内容在适用法律下的版权保护可能受到限制。
The Service provides AI-powered image and video generation tools. AI-Generated Outputs may have limited copyright protection under applicable law.
2.3 本服务中的AI生成功能属于生成式人工智能服务，将按照《生成式人工智能服务管理暂行办法》进行备案。备案编号：待申请（Pending Application）。使用的AI算法将按照《互联网信息服务算法推荐管理规定》进行备案。备案编号：待申请（Pending Application）。
注意： 备案编号将在完成申请后更新至本条款。在备案完成前，AI生成功能可能受到限制。
The AI generation features constitute generative AI services and will be filed with the CAC per the Interim Measures for the Management of Generative AI Services. Filing number: Pending Application. The AI algorithms will be filed per the Algorithm Recommendation Regulations. Filing number: Pending Application.
3.1 您须年满18周岁方可使用本服务。注册时须提供真实、准确、完整的个人信息。
You must be at least 18 years old to use the Service. You must provide truthful, accurate, and complete personal information during registration.
3.2 实名认证。 根据中华人民共和国相关法律法规，您须完成实名认证后方可使用本服务的全部功能。实名认证信息将按照我们的《隐私政策》进行保护。
Real-Name Registration. In accordance with PRC laws, you must complete real-name verification to access all features. Your verification information is protected under our Privacy Policy.
3.3 您对账户下的所有活动承担责任。如发现未经授权使用您账户的情况，请立即联系我们。
You are responsible for all activity under your account. Contact us immediately if you discover unauthorized use.
4.1 AI生成功能采用积分制。积分可通过购买积分包或订阅套餐获得。具体定价以服务内展示为准。
AI generation features use a credit system. Credits can be obtained through credit packs or subscription plans.
4.2 付款通过支付宝处理。所有价格以人民币标示，包含适用增值税。
Payments are processed through Alipay. All prices are displayed in Chinese yuan and include applicable VAT.
4.3 积分的购买、使用、退款等具体规则详见《订阅与积分条款》和《退款政策》。
Credit purchase, usage, and refund rules are detailed in the Subscription & Credit Terms and Refund Policy.
5.1 您通过本服务上传、提交或创建的所有内容（"用户内容"）的知识产权，在法律允许的范围内归您所有。
You retain ownership of all content you upload, submit, or create through the Service ("Your Content") to the extent permitted by law.
5.2 授权范围。 您同意授予公司在全球范围内非独占的、免费的、可转授权的许可，将用户内容用于以下目的：
You grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to use Your Content for:
(a) 运营与交付： 存储、缓存、转码、流式传输和展示用户内容；
(b) AI生成： 作为AI系统输入，按照您的指令生成AI输出；
(c) 团队共享： 在您的团队/企业账户设置允许的范围内共享；
(d) 安全合规： 使用自动化和人工系统检测违规内容；
(e) 服务改进： 在匿名化或聚合处理后，用于改进AI模型和服务功能；
(f) 推广展示： 仅展示您已公开的内容，用于服务推广。
5.3 您可通过删除内容撤销授权（已处理或纳入模型的内容除外）。
You may revoke the license by deleting content (except content already processed or incorporated into models).
5.4 保证与承诺。 您保证：(a) 您拥有授权用户内容的完整权利；(b) 用户内容不侵犯任何第三方权利；(c) 如内容涉及可识别的个人，您已获得其同意。
You warrant that you have all necessary rights to Your Content and that it does not infringe third-party rights.
6.1 根据《互联网信息服务深度合成管理规定》和《人工智能生成合成内容标识办法》（2025年9月1日起实施），本服务对AI生成内容实施以下标识措施：
In compliance with the Deep Synthesis Provisions and the AI Content Labeling Rules (effective September 1, 2025), the Service implements the following labeling measures:
6.2 显式标识。 所有AI生成的图像和视频将在显著位置标注AI生成标识（如"AI生成"水印或角标）。
Explicit Labels. All AI-generated images and videos will bear visible AI-generated indicators (such as "AI Generated" watermarks or corner marks).
6.3 隐式标识。 所有AI生成内容将嵌入符合GB 45438-2025国家标准的元数据，包括服务提供者名称、内容编号和内容属性等信息。
Implicit Labels. All AI-generated content will embed metadata conforming to national standard GB 45438-2025, including service provider name, content ID, and content attributes.
6.4 您不得删除、篡改或规避AI生成内容上的任何标识。在传播AI生成内容时，您有义务保留相关标识。
You must not remove, alter, or circumvent any AI content labels. When distributing AI-generated content, you must preserve such labels.
6.5 涉及真人肖像的内容。 如AI生成内容涉及可识别的真实人物，您须：(a) 公开标注该内容由AI生成；(b) 不得制作未经同意的深度伪造内容；(c) 遵守相关肖像权和隐私权法律。
If AI-generated content depicts identifiable real persons, you must disclose it as AI-generated and comply with portrait and privacy rights laws.
7.1 除本服务《可接受使用政策》所列的禁止行为外，在中华人民共和国境内使用本服务时，您还不得：
In addition to the Acceptable Use Policy, when using the Service within the PRC, you must not:
(a) 生成危害国家安全、颠覆国家政权、分裂国家或破坏国家统一的内容；
(b) 生成宣扬恐怖主义、极端主义的内容；
(c) 生成散布虚假信息、扰乱经济社会秩序的内容；
(d) 生成侵害他人名誉、隐私、肖像权或知识产权的内容；
(e) 生成歧视性内容，包括基于民族、种族、性别、宗教信仰的歧视；
(f) 生成违反公序良俗或社会主义核心价值观的内容；
(g) 生成法律法规禁止的其他内容。
(a) Generate content that endangers national security, subverts state power, separates the country, or undermines national unity;
(b) Generate content promoting terrorism or extremism;
(c) Generate false information that disrupts economic or social order;
(d) Generate content infringing others' reputation, privacy, portrait rights, or IP;
(e) Generate discriminatory content based on ethnicity, race, gender, or religion;
(f) Generate content violating public morals or core socialist values;
(g) Generate other content prohibited by laws and regulations.
8.1 本服务的软件、算法、AI模型、用户界面、设计、商标和相关内容的知识产权归公司及其许可方所有。
The Service's software, algorithms, AI models, UI, design, trademarks, and related content are owned by the Company and its licensors.
8.2 搜索库中的内容版权归原权利人所有。如您认为搜索库中的内容侵犯了您的版权，请按照我们的版权投诉流程进行通知。
Search Library content is owned by original rights holders. If you believe content infringes your copyright, follow our copyright complaint procedures.
9.1 本服务按"现状"和"可用状态"提供。公司不保证服务不会中断、安全无误或AI生成内容适合任何特定用途。
The Service is provided "as is" and "as available." The Company does not warrant uninterrupted, error-free service or fitness of AI outputs for any purpose.
9.2 公司不对用户使用AI生成功能产生的内容承担直接或间接责任。您对AI生成内容的使用和传播承担全部责任。
The Company is not responsible for content generated by users. You bear full responsibility for your use and distribution of AI-generated content.
在法律允许的最大范围内，公司对因使用或无法使用本服务而导致的任何间接、附带、特殊、后果性或惩罚性损害不承担责任。公司的总赔偿责任不超过您在索赔前12个月内向公司支付的金额或人民币100元中的较大者。
To the maximum extent permitted by law, the Company's total liability shall not exceed the greater of amounts paid by you in the 12 months preceding the claim or RMB 100.
11.1 本条款受中华人民共和国法律管辖，不适用冲突法规则。
These Terms are governed by the laws of the People's Republic of China.
11.2 因本条款引起的争议，双方应友好协商解决。协商不成的，任何一方均可向中国国际经济贸易仲裁委员会（CIETAC）北京分会提交仲裁。仲裁裁决为终局裁决，对双方均有约束力。
Disputes shall be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to CIETAC Beijing for arbitration. The award shall be final and binding.
